Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Sparkl website and application (the "Service") operated by Sparkl Ltd. ("us", "we", or "our"), a company registered in Dublin, Ireland.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password or credentials that you use to access the Service and for any activities or actions under your account.

You agree not to disclose your password or authentication method to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Access and Invitations

Sparkl is open for anyone to create an account. You can sign up directly through our website or application.

We reserve the right to refuse service, terminate accounts, or restrict access to the Service at our sole discretion, particularly in cases of Terms violation or suspected abuse of the Service.

3. Subscription and Payments

Sparkl offers both free and premium subscription plans. By selecting a premium subscription, you agree to pay the subscription fees indicated for that service.

Payments will be charged through our payment processor (Stripe) on the payment method you provide when purchasing the subscription. If a payment is not successfully processed, due to expiration, insufficient funds, or otherwise, you remain responsible for any uncollected amounts.

The subscription will automatically renew unless you cancel it before the next renewal date. You can cancel your subscription at any time through your account settings.

We reserve the right to change our subscription plans or adjust pricing for our service in any manner and at any time as we may determine in our sole discretion. Any price changes will become effective at the end of the then-current billing cycle.

4. Free Trial and Early Bird Offers

We may, at our sole discretion, offer a subscription with a free trial or special early bird pricing for a limited period of time.

You may be required to enter your payment information to sign up for the free trial or special offer. If you do enter your payment details, you will not be charged by Sparkl until the free trial or promotional period has expired.

If you do not cancel your subscription before the end of the free trial or promotional period, you authorize us to charge your payment method for the subscription plan you selected.

5. Content Ownership and License

You retain all rights to your content that you upload, share, or create through our Service, including voice recordings, transcriptions, and documents.

By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

We do not claim ownership of your content, but you grant us permission to use it as necessary to provide the Service to you and other users.

6. Data Security and Privacy

We implement reasonable security measures to protect your personal information and content. Your content is encrypted when stored in our systems.

We will not access, view, or process your content except:

  • As necessary to provide the Service to you
  • As directed or permitted by you
  • As required by law
  • As necessary for the use of AI services (OpenAI, Claude) for transcription and processing
  • As described in our Privacy Policy

7. Usage Limitations

Free accounts may have limitations on the number of voice recordings, transcriptions, and documents that can be created or stored. Premium accounts may have higher or unlimited usage limits as specified in the subscription details.

We reserve the right to impose or modify usage limitations at any time to ensure the stability and availability of the Service for all users.

You agree not to misuse the Service or help anyone else do so. Misuse includes:

  • Attempting to access the Service through unauthorized means
  • Trying to reverse engineer or break the Service
  • Attempting to harm other users or the Service
  • Using the Service for any illegal purpose
  • Violating any applicable laws or regulations

8. Sharing and Distribution

The Service allows you to share documents with others via email. You are solely responsible for the content you share and with whom you share it.

You agree not to share content that:

  • Infringes on intellectual property rights
  • Contains malicious code or links
  • Violates any applicable laws
  • Contains offensive, harmful, or inappropriate material

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

10. Limitation of Liability

In no event shall Sparkl, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

11. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Sparkl does not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Notice of changes may be provided by posting the updated Terms on our website, sending an email to the email address associated with your account, or through a notification in the application. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
